Chunghwa Telecom 2025 Annual General Meeting Results Announcement Distribution of NT$5.0 per Common Share in Cash

Taipei, Taiwan, R.O.C. May 29, 2025 - Chunghwa Telecom Co., Ltd. (“CHT”, TAIEX: 2412, NYSE: CHT) today held its 2025 annual general meeting (“AGM”) at 9:00 a.m. Taipei Time. The meeting was hosted by Chairman Chih-Cheng Chien. During the meeting, shareholders ratified the Company's 2024 business report, financial statements and earnings distribution proposal. In addition, shareholders approved amendments to the Articles of Incorporation, elected the Company's 11th Board of Directors and approved the release of non-competition restrictions on newly elected directors. In order to promote transparency in directors’ compensation information, the Company reported to the shareholders on the directors’ compensation paid in 2024.

There were 13 Board of Directors elected at this Annual General Meeting, including 8 directors representing the Ministry of Transportation and Communications (MOTC) including Chih-Cheng Chien, Rong-Shy Lin, Sheng-Yuan Wu, Chi-Hwa Chern, Kung-Yeun Jeng, Lee-Feng Chien, I-Jen Su, and Shiow-Long Horng, as well as 5 independent directors including Su-ming Lin, Yi-Chin Tu, Ikujin Ko, Ching-Feng Hsueh, and Jer-Liang Yeh. The 13 directors come from industry, government, and academia with a diverse range of expertise across telecommunications, technology, information, law, accounting and finance, and labor rights. In addition, several directors possess profession, knowledge and capabilities in risk management and corporate sustainability. The Company said it will continue to implement the best practice of corporate governance, and commit to creating value for shareholders.

Chunghwa Telecom indicated that in the first year following the consolidation of Taiwan's telecom industry, the Company achieved outstanding operational performance, attributed to the collective efforts made by all employees. Driven by the steady growth of its telecommunications business, enhanced profitability in its ICT services, higher sales revenue, and increased investment returns, the Company’s earnings per share (EPS) for 2024 reached NT$4.8, reflecting a 0.8% year-over-year growth. In addition, with effective resource planning and allocation, the Company continues to maintain a strong financial position and robust cash flow. In line with its commitment to returning earnings to shareholders, the Company proposed and obtained ratification at the Annual General Meeting to distribute a cash dividend of NT$5.0 per share for 2024, totaling NT$38,787,232,725, positively responding to shareholders' expectations. The Company said it will continue to enhance shareholder value by sharing the Company's operational achievements with all shareholders.
