Taipei, Taiwan, R.O.C. May 31, 2024 - Chunghwa Telecom Co., Ltd. (“CHT”, TAIEX: 2412, NYSE: CHT) today held its 2024 annual general meeting (“AGM”) at 9:00 am Taipei Time.” The meeting was hosted by Chairman Shui-Yi Kuo. Shareholders in attendance represented 6,090,596,648 shares, or 78.51% of total outstanding shares.
During the meeting, shareholders ratified the Company's 2023 business report, financial statements and earnings distribution proposal. In addition, shareholders approved amendments to the Articles of Incorporation and release of non-competition restrictions on Directors. In order to promote transparency in Director compensation information and strengthen anti-corruption management to align with international standards, the Company reported to the shareholders on 2023 compensation to directors and amendments to the Ethical Corporate Management Best Practice Principles. The Company will continue to implement corporate governance to the highest standards in the future, continuously improve relevant systems and practices, and strive to create maximum value for shareholders.
The 2023 cash dividend approved by shareholders at the meeting was NT$4.758 per common share in cash, totaling NT$36,909,930,661. Adhering to the intention of returning earnings to shareholders, the Company maintained a cash dividend payout ratio of approximately 100% in 2023. In the future, the Company will continue to uphold a stable dividend policy, sharing the business achievements with all shareholders.
